These Terms of Service ("Terms") govern your use of our website at this address, our ReplyDesk AI front desk services and our sustainable management consulting services (together, the "Service"). The Service is provided by Tayeb Sustainable Management Consultancy LLC, a Wyoming limited liability company ("we", "us" or "our"). By signing up for, paying for or using the Service, you ("you" or the "Client") agree to these Terms. If you are accepting on behalf of a business, you confirm that you have authority to bind that business.
1. The Service
ReplyDesk is a done-for-you AI front desk for small and medium-sized service businesses. Depending on your plan, we configure and manage an AI assistant that responds to your customers' enquiries on your website, by email, by SMS and by phone; captures lead details; books appointments into your calendar; hands enquiries off to you when needed; and sends you a monthly results report.
Consulting. We also provide sustainable management consulting services, including sustainability assessments, ESG and impact reporting, financial and operations management, funding and grant readiness, and feasibility studies. Each consulting engagement is defined in a written proposal that sets out its scope, deliverables, timeline and fee. If a proposal conflicts with these Terms, the proposal applies to that engagement. Sections 4 to 6 of these Terms apply only to ReplyDesk.
The Service is provided to businesses only. It is not intended for personal, family or household use.
2. Plans, fees and payment
- Plans. Our current plans and prices are shown on our website. At the time of these Terms they are: Essential, USD 497 per month plus a one-time USD 750 setup fee; Complete, USD 997 per month plus a one-time USD 1,000 setup fee; and Multi-location / Pro, priced by written quote.
- Setup fee. The setup fee is charged when you sign up and covers building and configuring your assistant.
- Monthly fee. Your subscription is billed monthly in advance, starting on the day your assistant goes live, and renews automatically each month until cancelled.
- Payment processing. Payments are made by bank transfer or through a secure third-party payment provider. If you choose card or automatic payment, you authorize us, through that provider, to charge the setup fee and each recurring monthly fee to the payment method you provide. We do not store your full card details.
- Currency and taxes. All prices are in US dollars and exclude any applicable taxes, which you are responsible for.
- Third-party usage costs. Plan prices include normal usage. If your call or message volume is unusually high, we will contact you before any additional charges apply, and we will only charge them with your written agreement.
- Failed payments. If a payment fails, we will notify you. If it is not resolved within 7 days, we may pause the Service until payment is made.
- Consulting fees. Consulting is priced per project in US dollars, as stated in the approved proposal. Unless the proposal says otherwise, 50% of the fee is invoiced on approval and is due before work starts, and the balance is invoiced on delivery of the final deliverables and is due within 14 days. Larger projects may be billed by milestones set out in the proposal. Changes in scope are agreed in writing before any additional fee applies. Consulting invoices can be paid by bank transfer or, where available, by card.
- Consulting deliverables. On full payment, you own the final reports and documents we prepare specifically for you. We keep ownership of our general methods, templates and know-how. Our recommendations are advisory; decisions on whether and how to act on them remain yours, and we do not guarantee any funding decision, grant award or third-party approval.
- Price changes. We will give you at least 30 days' notice by email before changing the price of your plan. The new price applies from your next billing date after the notice period.
3. Cancellation and refunds
You can cancel at any time by emailing us. There is no long-term contract. ReplyDesk cancellation takes effect at the end of your current paid month. A consulting engagement can be cancelled at any time, and you pay only for work completed up to the cancellation date. Refunds, including our Setup Fee Guarantee, are governed by our Refund & Cancellation Policy, which forms part of these Terms.
4. Setup and your responsibilities
To build your assistant, we need you to complete our intake form and give us accurate information about your business, services, hours, pricing, policies and calendar. We aim to have your assistant live within 3 business days of receiving a complete intake form and any access we need. You agree to:
- provide accurate and up-to-date information, and tell us promptly when it changes;
- review the assistant's answers during setup and tell us about anything that needs correcting;
- give us the access needed to connect your website, email, phone number, SMS or calendar, as applicable;
- obtain any consents and give any notices required by law to contact your customers by phone, SMS or email, and to record or transcribe calls where applicable (including under the Telephone Consumer Protection Act, CAN-SPAM, state call recording laws and similar laws);
- use the Service only for lawful purposes and in line with section 6.
5. AI assistant limitations
- The assistant generates responses using artificial intelligence based on the information you provide. It may occasionally make mistakes. You remain responsible for your services, quotes, bookings and commitments to your customers.
- The assistant always identifies itself as an AI assistant to your customers.
- The assistant is not an emergency service. It must not be relied on to handle life-threatening situations. Your customers should always be directed to call emergency services where appropriate.
- The assistant does not provide medical, legal or financial advice on your behalf.
- Results such as enquiries captured, bookings and estimated revenue recovered depend on your business and are not guaranteed, except as set out in our Setup Fee Guarantee.
6. Acceptable use
You may not use the Service to: send spam or unsolicited marketing without required consent; mislead or deceive customers; collect payment card numbers, government ID numbers or other sensitive data through the assistant; promote illegal products or services; infringe anyone's rights; or attempt to interfere with or reverse engineer the Service. We may suspend the Service if we reasonably believe it is being used in breach of this section.
7. Data and privacy
Our Privacy Policy explains how we handle personal information. When we process your customers' personal information to provide the Service, we do so on your behalf and only on your instructions. You are responsible for having a lawful basis to share that information with us. We offer a written data processing agreement on request.
8. Intellectual property
You keep ownership of your business content, brand and customer data. You give us a limited licence to use them only to provide the Service to you. We keep ownership of the ReplyDesk platform, templates, prompts, software and know-how. You receive a non-exclusive, non-transferable right to use the Service while your subscription is active.
9. Confidentiality
Each party will keep the other's non-public business information confidential and use it only for the purposes of these Terms, except where disclosure is required by law.
10. Third-party services
The Service relies on third-party providers, such as payment processing, hosting, AI model, telephony, SMS, email and calendar providers. We are not responsible for outages or changes caused by those providers, but we will work to restore the Service as quickly as reasonably possible.
11. Disclaimer of warranties
Except as expressly stated in these Terms, the Service is provided "as is" and "as available", and we disclaim all other warranties, express or implied, including warranties of merchantability, fitness for a particular purpose and non-infringement. We do not warrant that the Service will be uninterrupted or error-free.
12. Limitation of liability
To the maximum extent permitted by law, neither party will be liable for any indirect, incidental, special, consequential or punitive damages, or for lost profits or revenue. Our total liability arising out of or relating to the Service will not exceed the fees you paid us in the three months before the event giving rise to the claim.
13. Indemnity
You agree to indemnify us against third-party claims arising from your business content, your instructions to us, or your breach of section 4 or section 6 of these Terms.
14. Term and termination
These Terms apply from when you sign up until your subscription ends. Either party may end the Service by giving notice as described in our Refund & Cancellation Policy. We may terminate immediately if you materially breach these Terms and do not fix the breach within 10 days of notice. On termination, we will stop the assistant and, on request made within 30 days, provide an export of your lead and conversation records, after which we delete them as described in our Privacy Policy.
15. Changes to these Terms
We may update these Terms from time to time. We will post the updated version on this page with a new effective date and, for material changes, notify active clients by email at least 30 days in advance.
16. Governing law and disputes
These Terms are governed by the laws of the State of Wyoming, USA, without regard to conflict of law rules. Before filing any claim, each party agrees to try to resolve the dispute informally by contacting the other in writing and allowing 30 days for resolution. Any unresolved dispute will be brought exclusively in the state or federal courts located in Wyoming, and each party consents to their jurisdiction.
17. General
These Terms, together with our Privacy Policy, our Refund & Cancellation Policy and any written order or quote, are the entire agreement between us about the Service. If any provision is found unenforceable, the rest remain in effect. You may not assign these Terms without our consent. Neither party is liable for delays caused by events beyond its reasonable control.
